Terms and Conditions for MadeSimpler
Welcome to MadeSimpler, your premier partner for website development and marketing solutions. By accessing our services, you agree to be bound by the following terms and conditions (T&C). Please read them carefully.
- Ownership and Payment
1.1 Ownership of the website developed by MadeSimpler ("the Website") shall remain with MadeSimpler until the client has paid in full under the terms specified in the Scope of Work contract. Until such payment is made, the client shall have no ownership rights over any part of the Website.
1.2 The terms regarding payment, deliverables, and timeline will be detailed in the Scope of Work (SOW) contract, which must be agreed upon and signed by both parties prior to the commencement of any work. SOW contract / signatures are not required if website build is financed under the terms of a Flex payment plan.
- Hosting Services
2.1 MadeSimpler will host the Website on its servers from the time of development until the transfer of ownership to the client, subject to the full payment for the Website as stipulated in the Scope of Work contract.
2.2 Hosting services provided by MadeSimpler before the transfer of ownership are part of the development package, with no additional cost to the client unless specified otherwise in the Scope of Work contract.
- Post-Completion Hosting and Billing
3.1 Upon the fulfillment of the contract and the final transfer of ownership of the Website to the client, MadeSimpler will offer hosting services for the Website at a competitive rate.
3.2 Details regarding post-completion hosting, including fees and service level agreements, will be provided to the client. The client is under no obligation to continue hosting services with MadeSimpler after the transfer of ownership.
- Access During Construction
4.1 MadeSimpler acknowledges the importance of client input during the website development process. Therefore, necessary access to the Website will be provided to the client as needed for the purpose of reviewing, testing, and providing feedback.
4.2 Such access will be regulated and monitored by MadeSimpler to ensure the security and integrity of the development process.
General Terms
- Limitation of Liability: MadeSimpler shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use any of the services or for the cost of procurement of substitute services.
- Content and User Conduct: The client is responsible for all content uploaded to the Website and agrees not to use the Website for any unlawful activities. MadeSimpler reserves the right to remove content deemed inappropriate or illegal.
- Governing Law: These terms and conditions are governed by the laws of the jurisdiction where MadeSimpler is registered. Any disputes relating to these T&C shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
- Changes to Terms: MadeSimpler reserves the right to modify these terms and conditions at any time. The client will be notified of any significant changes.
- Entire Agreement: These terms and conditions constitute the entire agreement between MadeSimpler and the client, superseding any prior agreements or understandings.
By using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
